PREAMBLE<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-1b6bbde elementor-widget elementor-widget-text-editor\" data-id=\"1b6bbde\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>These Contractual Clauses (the Clauses) set out the rights and obligations of the data controller and the data processor, when processing personal data on behalf of the data controller.<\/p><p>The Clauses have been designed to ensure the parties\u2019 compliance with Article 28(3) of Regulation 2016\/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons regarding the processing of personal data and on the free movement of such data and repealing Directive 95\/46\/EC (General Data Protection Regulation).<\/p><p>In the context of the provision of the service, the data processor will process personal data on behalf of the data controller in accordance with the Clauses.<\/p><p>The Clauses shall take priority over any similar provisions contained in other agreements between the parties.<\/p><p>Three appendices are attached to the Clauses and form an integral part of the Clauses.<\/p><p>Appendix A contains details about the processing of personal data, including the purpose and nature of the processing, type of personal data, categories of data subject and duration of the processing.<\/p><p>Appendix B contains the data controller\u2019s instructions with regards to the processing of personal data, the minimum-security measures to be implemented by the data processor and how audits of the data processor and any sub-processors are to be performed.<\/p><p>Appendix C contains provisions for other activities which are not covered by the Clauses.<\/p><p>The Clauses along with appendices shall be retained in writing, including electronically, by both parties.<\/p><p>The Clauses shall not exempt the data processor from obligations to which the data processor is subject pursuant to the General Data Protection Regulation (the GDPR) or other legislation.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4ab3323 elementor-widget elementor-widget-spacer\" data-id=\"4ab3323\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f771307 elementor-widget elementor-widget-heading\" data-id=\"f771307\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">2. THE RIGHTS AND OBLIGATIONS OF THE DATA CONTROLLER <\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-43441dc elementor-widget elementor-widget-text-editor\" data-id=\"43441dc\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>The data controller is responsible for ensuring that the processing of personal data takes place in compliance with the GDPR (see Article 24 GDPR), the applicable EU or Member State1 data protection provisions and the Clauses.<\/p><p>The data controller has the right and obligation to make decisions about the purposes and means of the processing of personal data.<\/p><p>The data controller shall be responsible, among other, for ensuring that the processing of personal data, which the data processor is instructed to perform, has a legal basis.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8ead515 elementor-widget elementor-widget-spacer\" data-id=\"8ead515\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2c09a6b elementor-widget elementor-widget-heading\" data-id=\"2c09a6b\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">3. THE DATA PROCESSOR ACTS ACCORDING TO INSTRUCTIONS <\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e524224 elementor-widget elementor-widget-text-editor\" data-id=\"e524224\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>The data processor shall process personal data only on documented instructions from the data controller unless required to do so by Union or Member State law to which the processor is subject. Such instructions shall be specified in appendices A and C. Subsequent instructions can also be given by the data controller throughout the duration of the processing of personal data, but such instructions shall always be documented and kept in writing, including electronically, in connection with the Clauses. <\/p><p>The data processor shall immediately inform the data controller if instructions given by the data controller, in the opinion of the data processor, contravene the GDPR or the applicable EU or Member State data protection provisions.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-96b99d1 elementor-widget elementor-widget-spacer\" data-id=\"96b99d1\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-006f4fe elementor-widget elementor-widget-heading\" data-id=\"006f4fe\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">4. CONFIDENTIALITY <\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ac93bca elementor-widget elementor-widget-text-editor\" data-id=\"ac93bca\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>The data processor shall only grant access to the personal data being processed on behalf of the data controller to persons under the data processor\u2019s authority who have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality and only on a need-to-know basis. The list of persons to whom access has been granted shall be kept under periodic review. Based on this review, such access to personal data can be withdrawn, if access is no longer necessary, and personal data shall consequently not be accessible anymore to those persons.  <\/p><p>The data processor shall at the request of the data controller demonstrate that the concerned persons under the data processor\u2019s authority are subject to the abovementioned confidentiality.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2870159 elementor-widget elementor-widget-spacer\" data-id=\"2870159\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9e36bde elementor-widget elementor-widget-heading\" data-id=\"9e36bde\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">5. SECURITY OF PROCESSING <\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-04b29c5 elementor-widget elementor-widget-text-editor\" data-id=\"04b29c5\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Article 32 of GDPR stipulates that considering the state of the art, the costs of implementation, and the nature, scope, context, and purposes of processing as well as the risk of varying likelihood and severity for the rights and freedoms of natural persons, the data controller and data processor shall implement appropriate technical and organisational measures to ensure a level of security appropriate to the risk.<\/p><p>The data controller shall evaluate the risks to the rights and freedoms of natural persons inherent in the processing and implement measures to mitigate those risks. Depending on their relevance, the measures may include the following: <\/p><ol><li>Pseudonymization and encryption of personal data;<\/li><li>the ability to ensure ongoing confidentiality, integrity, availability, and resilience of processing systems and services;<\/li><li>the ability to restore the availability and access to personal data in a timely manner in the event of a physical or technical incident;<\/li><li>a process for regularly testing, assessing, and evaluating the effectiveness of technical and organisational measures for ensuring the security of the processing.<\/li><\/ol><p> <\/p><p>According to Article 32 GDPR, the data processor shall also \u2013 independently from the data controller \u2013 evaluate the risks to the rights and freedoms of natural persons inherent in the processing and implement measures to mitigate those risks. To this effect, the data controller shall provide the data processor with all information necessary to identify and evaluate such risks. <\/p><p>Furthermore, the data processor shall assist the data controller in ensuring compliance with the data controller\u2019s obligations pursuant to Articles 32 GDPR, by inter alia providing the data controller with information concerning the technical and organisational measures already implemented by the data processor pursuant to Article 32 GDPR along with all other information necessary for the data controller to comply with the data controller\u2019s obligation under Article 32 GDPR.<\/p><p>If subsequently \u2013 in the assessment of the data controller \u2013 mitigation of the identified risks requires further measures to be implemented by the data processor than those already implemented by the data processor pursuant to Article 32 GDPR, the data controller shall specify these additional measures to be implemented in Appendix B.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5fb6405 elementor-widget elementor-widget-spacer\" data-id=\"5fb6405\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-89b7c2e elementor-widget elementor-widget-heading\" data-id=\"89b7c2e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">6. USE OF SUB-PROCESSORS <\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b6ac0c6 elementor-widget elementor-widget-text-editor\" data-id=\"b6ac0c6\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>The data processor shall meet the requirements specified in Article 28(2) and (4) GDPR to engage another processor (a sub-processor).<\/p><p>The data processor shall therefore not engage another processor (sub-processor) for the fulfillment of the Clauses without the prior specific written authorization of the data controller.<\/p><p>The data processor shall engage sub-processors solely with the specific prior authorization of the data controller. The data processor shall submit the request for specific authorisation at least 30 days prior to the engagement of the concerned sub-processor.  <\/p><p>Where the data processor engages a sub-processor for carrying out specific processing activities on behalf of the data controller, the same data protection obligations as set out in the Clauses shall be imposed on that sub-processor by way of a contract or other legal act under EU or Member State law, in particular providing sufficient guarantees to implement appropriate technical and organizational measures in such a manner that the processing will meet the requirements of the Clauses and the GDPR.<\/p><p>The data processor shall therefore be responsible for requiring that the sub-processor at least complies with the obligations to which the data processor is subject pursuant to the Clauses and the GDPR. <\/p><p>A copy of such a sub-processor agreement and subsequent amendments shall \u2013 at the data controller\u2019s request \u2013 be submitted to the data controller, thereby giving the data controller the opportunity to ensure that the same data protection obligations as set out in the Clauses are imposed on the sub-processor. Clauses on business-related issues that do not affect the legal data protection content of the sub-processor agreement, shall not require submission to the data controller.  <\/p><p>The data processor shall agree on a third-party beneficiary clause with the sub-processor where \u2013 in the event of bankruptcy of the data processor \u2013 the data controller shall be a third-party beneficiary to the sub-processor agreement and shall have the right to enforce the agreement against the sub-processor engaged by the data processor, e.g. enabling the data controller to instruct the sub-processor to delete or return the personal data.<\/p><p>If the sub-processor does not fulfil his data protection obligations, the data processor shall remain fully liable to the data controller as regards the fulfilment of the obligations of the sub-processor. This does not affect the rights of the data subjects under the GDPR \u2013 those foreseen in Articles 79 and 82 GDPR \u2013 against the data controller and the data processor, including the sub-processor. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-3c15399 elementor-widget elementor-widget-spacer\" data-id=\"3c15399\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2c915ad elementor-widget elementor-widget-heading\" data-id=\"2c915ad\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">7. TRANSFER OF DATA TO THIRD COUNTRIES OR INTERNATIONAL ORGANIZATIONS <\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8d2a671 elementor-widget elementor-widget-text-editor\" data-id=\"8d2a671\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Any transfer of personal data to third countries or international organizations by the data processor shall only occur based on documented instructions from the data controller and shall always take place in compliance with Chapter V GDPR. <\/p><p>In case transfers to third countries or international organizations, which the data processor has not been instructed to perform by the data controller, are required under EU or Member State law to which the data processor is subject, the data processor shall inform the data controller of that legal requirement prior to processing unless that law prohibits such information on important grounds of public interest.<\/p><p>Without documented instructions from the data controller, the data processor therefore cannot within the framework of the Clauses:<\/p><ol><li>transfer personal data to a data controller or a data processor in a third country or in an international organization<\/li><li>transfer the processing of personal data to a sub-processor in a third country <\/li><li>have the personal data processed in by the data processor in a third country<\/li><\/ol><p> <\/p><p>The data controller\u2019s instructions regarding the transfer of personal data to a third country including, if applicable, the transfer tool under Chapter V GDPR on which they are based, shall be set out in Appendix B.6.<\/p><p>The Clauses shall not be confused with standard data protection clauses within the meaning of Article 46(2)(c) and (d) GDPR, and the Clauses cannot be relied upon by the parties as a transfer tool under Chapter V GDPR.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2510e32 elementor-widget elementor-widget-spacer\" data-id=\"2510e32\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b519aaf elementor-widget elementor-widget-heading\" data-id=\"b519aaf\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">8. ASSISTANCE TO THE DATA CONTROLLER <\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b6de6ba elementor-widget elementor-widget-text-editor\" data-id=\"b6de6ba\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Considering the nature of the processing, the data processor shall assist the data controller by appropriate technical and organizational measures, insofar as this is possible, in the fulfilment of the data controller\u2019s obligations to respond to requests for exercising the data subject\u2019s rights laid down in Chapter III GDPR.<\/p><ol><li>This entails that the data processor shall, insofar as this is possible, assist the data controller in the data controller\u2019s compliance with:<\/li><li>the right to be informed when collecting personal data from the data subject<\/li><li>the right to be informed when personal data have not been obtained from the data subject<\/li><li>the right of access by the data subject<\/li><li>the right to rectification<\/li><li>the right to erasure (\u2018the right to be forgotten\u2019)<\/li><li>the right to restriction of processing<\/li><li>notification obligation regarding rectification or erasure of personal data or restriction of processing<\/li><li>the right to data portability<\/li><li>the right to object <\/li><li>the right not to be subject to a decision based solely on automated processing, including profiling<\/li><\/ol><p> <\/p><p>In addition to the data processor\u2019s obligation to assist the data controller pursuant to Clause 6.3., the data processor shall furthermore, considering the nature of the processing and the information available to the data processor, assist the data controller in ensuring compliance with:<\/p><ol><li>The data controller\u2019s obligation to without undue delay and, where feasible, not later than 72 hours after having become aware of it, notify the personal data breach to the competent supervisory authority, unless the personal data breach is unlikely to result in a risk to the rights and freedoms of natural persons;<\/li><li>the data controller\u2019s obligation to undue delay communicate the personal data breach to the data subject when the personal data breach is likely to result in a high risk to the rights and freedoms of natural persons;<\/li><li>the data controller\u2019s obligation to carry out an assessment of the impact of the envisaged processing operations on the protection of personal data (a data protection impact assessment);<\/li><li>the data controller\u2019s obligation to consult the competent supervisory authority, prior to processing where a data protection impact assessment indicates that the processing would result in a high risk in the absence of measures taken by the data controller to mitigate the risk.<\/li><\/ol><p> <\/p><p>The parties shall define in Appendix B the appropriate technical and organizational measures by which the data processor is required to assist the data controller as well as the scope and the extent of the assistance required. This applies to the obligations foreseen in Clause 9.1. and 9.2.  <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-471572d elementor-widget elementor-widget-spacer\" data-id=\"471572d\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e942da8 elementor-widget elementor-widget-heading\" data-id=\"e942da8\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">9. NOTIFICATION OF PERSONAL DATA BREACH <\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e09600d elementor-widget elementor-widget-text-editor\" data-id=\"e09600d\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>In case of any personal data breach, the data processor shall, without undue delay after having become aware of it, notify the data controller of the personal data breach.<\/p><p>The data processor\u2019s notification to the data controller shall, if possible, take place within 24 hours after the data processor has become aware of the personal data breach to enable the data controller to comply with the data controller\u2019s obligation to notify the personal data breach to the competent supervisory authority, cf. Article 33 GDPR. <\/p><p>In accordance with Clause 9(2)(a), the data processor shall assist the data controller in notifying the personal data breach the competent supervisory authority, meaning that the data processor is required to assist in obtaining the information listed below which, pursuant to Article 33(3)GDPR, shall be stated in the data controller\u2019s notification to the competent supervisory authority: <\/p><ol><li>The nature of the personal data including where possible, the categories and approximate number of data subjects concerned and the categories and approximate number of personal data records concerned; <\/li><li>the likely consequences of the personal data breach;<\/li><li>the measures taken or proposed to be taken by the controller to address the personal data breach, including, where appropriate, measures to mitigate its possible adverse effects. <\/li><\/ol><p> <\/p><p>The parties shall define in Appendix B all the elements to be provided by the data processor when assisting the data controller in the notification of a personal data breach to the competent supervisory authority.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c513649 elementor-widget elementor-widget-spacer\" data-id=\"c513649\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b1babd3 elementor-widget elementor-widget-heading\" data-id=\"b1babd3\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">10. ERASURE AND RETURN OF DATA <\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-db9aa84 elementor-widget elementor-widget-text-editor\" data-id=\"db9aa84\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>On termination of the provision of personal data processing services, the data processor shall be under obligation to delete all personal data processed on behalf of the data controller and certify to the data controller that it has done unless Union or Member State law requires storage of the personal data.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-73b6735 elementor-widget elementor-widget-spacer\" data-id=\"73b6735\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-872141f elementor-widget elementor-widget-heading\" data-id=\"872141f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">11. AUDIT AND INSPECTION <\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-3338e3f elementor-widget elementor-widget-text-editor\" data-id=\"3338e3f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>The data processor shall make available to the data controller all information necessary to demonstrate compliance with the obligations laid down in Article 28 and the Clauses and allow for and contribute to audits, including inspections, conducted by the data controller or another auditor mandated by the data controller.<\/p><p>Procedures applicable to the data controller\u2019s audits, including inspections, of the data processor and sub-processors are specified in appendices B.7. and B.8.  <\/p><p>The data processor shall be required to provide the supervisory authorities, which pursuant to applicable legislation have access to the data controller\u2019s and data processor\u2019s facilities, or representatives acting on behalf of such supervisory authorities, with access to the data processor\u2019s physical facilities on presentation of appropriate identification. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-29b9bf5 elementor-widget elementor-widget-spacer\" data-id=\"29b9bf5\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e235d11 elementor-widget elementor-widget-heading\" data-id=\"e235d11\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">12. THE PARTIES\u2019 AGREEMENT ON OTHER TERMS <\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-725bcce elementor-widget elementor-widget-text-editor\" data-id=\"725bcce\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>The parties may agree on other clauses concerning the provision of the personal data processing service specifying e.g. liability, as long as they do not contradict directly or indirectly the Clauses or prejudice the fundamental rights or freedoms of the data subject and the protection afforded by the GDPR.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-52f3c44 elementor-widget elementor-widget-spacer\" data-id=\"52f3c44\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-1dbc371 elementor-widget elementor-widget-heading\" data-id=\"1dbc371\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">13. COMMENCEMENT AND TERMINATION <\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5672cf5 elementor-widget elementor-widget-text-editor\" data-id=\"5672cf5\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>The Clauses shall become effective on the date of both parties\u2019 signature.<\/p><p>Both parties shall be entitled to require the Clauses renegotiated if changes to the law or inexpediency of the Clauses should give rise to such renegotiation. <\/p><p>The Clauses shall apply for the duration of the provision of personal data processing services. Security of processing <\/strong><strong> <\/strong><\/p><p>The security level reflects the fact that there is little personal data that can potentially provide insight into essential business data of data controllers.  <\/p><p> <\/p><p>The data processor is then entitled and obliged to make decisions on which technical and organizational security measures must be implemented to establish the necessary level of security. <\/p><p> <\/p><p> <\/p><p><strong>B.3. Assistance to the data controller <\/strong><strong> <\/strong><\/p><p> <\/p><p>Considering the nature of the processing, the Data Processor shall, as far as possible, assist the Data Controller by means of appropriate technical and organizational measures in fulfilling the Data Controller&#8217;s obligation to respond to requests for the exercise of data subjects&#8217; rights, as laid down in Chapter 3 of the General Data Protection Regulation. <\/p><p> <\/p><p> <\/p><p><strong>B.4. Storage period\/erasure procedures  <\/strong><strong> <\/strong><\/p><p> <\/p><p>The processing is not limited in time and lasts until the agreement is terminated or terminated by one of the parties. <\/p><p> <\/p><p>Upon termination of the service regarding the processing of personal data, the data processor shall delete the personal data in accordance with clause 11.1, unless the data controller \u2013 after signing these provisions \u2013 has changed the data controller&#8217;s original choice. Such changes shall be documented and kept in writing, including electronically, in connection with the provisions. Data controllers&#8217; information is not returned to the data controller. <\/p><p> <\/p><p> <\/p><p><strong>B.5. You must comply with all technical protections in the Software that only allow You to use it in certain ways. No rights other than those expressly set forth herein shall pass to You.     <span data-ccp-props=\"{}\"> <\/span><\/p><p><span data-contrast=\"none\">You will not (a) reproduce, modify, adapt or create derivative works of the service; (b) rent, lease, distribute, sell, sublicense, transfer or provide access to the service; (c) use the service for the benefit of any third party; (d) incorporate any Millers service into a product or service you provide to a third party; (e) interfere with or otherwise circumvent mechanisms in the service intended to limit your use; (f) reverse engineer, disassemble, decompile, translate or otherwise seek to obtain or derive the source code, underlying ideas, algorithms, file formats, or non-public APIs to any Millers service; (g) remove or obscure any proprietary or other notice contained in any Millers service; (h) use the Millers service for competitive analysis or to build competitive products; (i) publicly disseminate information regarding the performance of the service; or (j) encourage or assist any third party to do any of the foregoing.           <\/span><span data-ccp-props=\"{}\"> <\/span><\/p><p>Millers do not provide support or maintenance under the terms of this Agreement. We refer to the Software License Agreement. You are responsible for all actions that are performed on or through your account. Unless either party cancels your subscription, your subscription will automatically renew for another period equal to the initial subscription period. Canceling your subscription means that you will not be charged for the next billing cycle, but you will not receive any refunds or credits for amounts that have already been charged. The prices can be updated from time to time due to surrounding circumstances such as inflation among others. You have the current month plus 30 days to pay. We do not have any binding period, this means you can terminate the Agreement at any time. An unpaid bill for any upcoming period is considered a termination of the subscription. In that case, we will refund you the amount paid for such an order. RIGHTS <\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-cdc0f5a elementor-widget elementor-widget-text-editor\" data-id=\"cdc0f5a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Millers services are made available on a limited access basis, and no ownership right is conveyed to you, irrespective of the use of terms such as \u2018<span data-contrast=\"none\">purchase\u2019<\/span><span data-contrast=\"none\"> or \u2018<\/span><span data-contrast=\"none\">sale\u2019<\/span><span data-contrast=\"none\">. We have and retain all rights, titles, and interests, including all intellectual property rights. <\/span><span data-ccp-props=\"{}\"> <\/span><\/p><p><span data-contrast=\"none\">Millers licenses the Software based on the acquired modules, number of stores, number of products, number of Users that directly or indirectly access the Software, and the functionality used by those Users in the Software.<\/span><span data-ccp-props=\"{}\"> <\/span> <\/p><ol><li><em>User Licenses<\/em><span data-contrast=\"none\">. You must <\/span><span data-contrast=\"none\">acquire<\/span><span data-contrast=\"none\"> and assign User Licenses for each individual User that directly or indirectly accesses Instances of the Software. The User License  <\/span><span data-contrast=\"none\">required<\/span><span data-contrast=\"none\"> depends on the functionality that the User intends to access and use. You are not  <\/span><span data-contrast=\"none\">permitted<\/span><span data-contrast=\"none\"> to share User Licenses between users. However,  <\/span><span data-contrast=\"none\">You<\/span><span data-contrast=\"none\"> may permanently re-assign a User License from one User to another. You may also assign a User License to a temporary worker while the normally assigned User is absent. For any given User,   <\/span><span data-contrast=\"none\">You<\/span><span data-contrast=\"none\"> may make such temporary assignment once in each thirty-day period.<br><br><\/span><\/li><li><em>Number of stores\/products: <\/em><span data-contrast=\"none\">You must pay a license fee per active store\/number of products in <\/span><span data-contrast=\"none\">the service<\/span><span data-contrast=\"none\">. Millers may at all times terminate these Terms if it is necessary to comply with laws or avoid liability or harm to its services, reputation, or customers. <span data-ccp-props=\"{}\"> <\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b22f0ff elementor-widget elementor-widget-spacer\" data-id=\"b22f0ff\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f3c0ed6 elementor-widget elementor-widget-heading\" data-id=\"f3c0ed6\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">11.3 EFFECTS OF TERMINATION <\/h3>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-57cc406 elementor-widget elementor-widget-text-editor\" data-id=\"57cc406\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Upon any expiration or termination of these Terms, you must cease using all Millers services. You will not have access to your data after the expiration or termination of these Terms, so you should make sure to export your data. You understand that use of the service necessarily involves the transmission of your data over networks that we do not own, operate or control, and we are not responsible for any of your data lost, altered, intercepted, or stored across such networks. DISPUTE RESOLUTION <\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-3d16b2d elementor-widget elementor-widget-heading\" data-id=\"3d16b2d\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">14.1 CHOICE OF LAW <\/h3>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c3e0352 elementor-widget elementor-widget-text-editor\" data-id=\"c3e0352\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Any dispute arising from or related to the contract shall be governed by Danish law, both with regard to substantive and procedural matters, except for Danish choice of law rules and the United Nations Convention on the International Sale of Goods (CISG).<span data-ccp-props=\"{\"134233117\":false,\"134233118\":false,\"201341983\":0,\"335551550\":1,\"335551620\":1,\"335559685\":0,\"335559737\":0,\"335559738\":0,\"335559739\":0,\"335559740\":259}\"> <\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2fe9093 elementor-widget elementor-widget-spacer\" data-id=\"2fe9093\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a5d5b05 elementor-widget elementor-widget-heading\" data-id=\"a5d5b05\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">14.2 NEGOTIATION BETWEEN THE PARTIES <\/h3>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d20fb12 elementor-widget elementor-widget-text-editor\" data-id=\"d20fb12\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>In the event of a disagreement between the Parties regarding the Contract and its performance, each of the Parties may refer the matter to the Customer&#8217;s and the Supplier&#8217;s responsible parties for daily operations, who will then jointly resolve the disagreement. If an agreement cannot be reached between the daily responsible parties, the negotiations shall be escalated to the steering committee. If an agreement is not reached in the steering committee, the disagreement shall be escalated to a higher level within the Parties&#8217; organizations.  <span data-ccp-props=\"{\"134233117\":false,\"134233118\":false,\"201341983\":0,\"335551550\":1,\"335551620\":1,\"335559685\":0,\"335559737\":0,\"335559738\":0,\"335559739\":0,\"335559740\":259}\"> <\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-86acf89 elementor-widget elementor-widget-spacer\" data-id=\"86acf89\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-919ee46 elementor-widget elementor-widget-heading\" data-id=\"919ee46\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">14.3 DISPUTE RESOLUTION BY EXPERT TECHNICAL AND\/OR LEGAL OPINION <\/h3>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-382769a elementor-widget elementor-widget-text-editor\" data-id=\"382769a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>If the Parties cannot reach a resolution through negotiation within 5 business days, either of the Parties may request dispute resolution in accordance with the &#8220;Rules for Legal\/Technical Opinion in IT Cases&#8221; provided by the Arbitration Institute. The process described therein shall be followed. <span data-ccp-props=\"{}\"> <\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-dbf7dd8 elementor-widget elementor-widget-spacer\" data-id=\"dbf7dd8\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9c1d20c elementor-widget elementor-widget-heading\" data-id=\"9c1d20c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">14.4 MEDIATION <\/h3>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-90276a5 elementor-widget elementor-widget-text-editor\" data-id=\"90276a5\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>If neither of the Parties has opted for dispute resolution by expert technical and\/or legal opinion, the dispute may be sought to be resolved through mediation, led by a mediator appointed by the Parties. If the Parties do not agree on the selection of a mediator within 10 business days after one of them has expressed a desire for mediation, either of the Parties may request the Danish IT Lawyers Association (DITA) to appoint a mediator. Mediation is conducted in accordance with DITA&#8217;s mediation procedure.  <span data-ccp-props=\"{}\">  <\/span><\/p><p>Mediation commences when one of the Parties sends a written request for mediation to the other Party with a copy to DITA. The mediator shall be appointed by DITA no later than 10 business days after DITA&#8217;s receipt of the mediation request. <span data-ccp-props=\"{}\"> <\/span><\/p><p><span data-contrast=\"none\">At a minimum, one Party is obligated to participate in the first meeting called by the mediator. However, a Party is entitled to initiate arbitration if a delay in doing so could lead to the forfeiture of legal rights, e.g., due to the expiration of statutes of limitations. <\/span><span data-ccp-props=\"{}\"> <\/span><\/p><p><span data-contrast=\"none\">If a Party notifies that they do not wish to continue mediation after the first meeting or if the conflict is not resolved through mediation within 8 weeks after the written mediation request, either of the Parties may submit the dispute for final resolution through arbitration as described below.<\/span><span data-ccp-props=\"{}\"> <\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c6e6f8a elementor-widget elementor-widget-spacer\" data-id=\"c6e6f8a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-25f59b9 elementor-widget elementor-widget-heading\" data-id=\"25f59b9\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">14.5 ARBITRATION <\/h3>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a1b755f elementor-widget elementor-widget-text-editor\" data-id=\"a1b755f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>The venue for the arbitration is the municipality where the Customer is registered.<span data-ccp-props=\"{}\"> <\/span><\/p><p><span data-contrast=\"none\">If the total value of the dispute does not exceed 1 million DKK, the dispute will be resolved through arbitration in accordance with the &#8220;Rules for Simplified Arbitration Process of the Danish Institute of Arbitration&#8221; as applicable at the time of the initiation of the arbitration case.<\/span><span data-ccp-props=\"{}\"> <\/span><\/p><p>The arbitration panel is appointed by the Danish Institute of Arbitration in accordance with the &#8220;Rules for Simplified Arbitration Process of the Danish Institute of Arbitration.&#8221; The arbitrator is appointed by the Danish Institute of Arbitration. The Parties may, jointly and no later than the expiration of the deadline for the respondent&#8217;s response, propose an arbitrator. The Parties agree to jointly seek to appoint an arbitrator based on a recommendation from the Danish IT Lawyers Association (DITA).   <span data-ccp-props=\"{}\"> <\/span><\/p><p>If the total value of the dispute exceeds 1 million DKK, the dispute will be resolved through arbitration according to the &#8220;Rules for the Handling of Arbitration Cases by the Danish Institute of Arbitration&#8221; as applicable at the time of the initiation of the arbitration case.<span data-ccp-props=\"{}\"> <\/span><\/p><p>The arbitration panel is appointed by the Danish Institute of Arbitration in accordance with the &#8220;Rules for the Handling of Arbitration Cases by the Danish Institute of Arbitration.&#8221; Unless the Parties agree otherwise, the arbitration panel is composed of three arbitrators. In cases where the dispute is to be decided by three arbitrators, the claimant may propose their arbitrator in the complaint, and the respondent may propose their arbitrator in the response. The third arbitrator, who serves as the chairman of the arbitration panel, is proposed by the Danish Institute of Arbitration, unless the Parties, jointly and before the expiration of the deadline for the respondent&#8217;s response, propose a chairman. The Parties agree to jointly seek to appoint a chairman based on a recommendation from DITA.    <span data-ccp-props=\"{}\"> <\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-98976ca elementor-widget elementor-widget-spacer\" data-id=\"98976ca\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f6398c4 elementor-widget elementor-widget-heading\" data-id=\"f6398c4\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">15.
